Terms of Use

Last updated: 5 October 2026

Entity Transition

As of August 2026, Tempo operates as Tempo Software Pty Ltd (ABN 85 701 184 358). If you joined the waitlist or beta before this date, your account and data continue under Tempo Software Pty Ltd without interruption or any change to how your data is handled.

1. Acceptance of Terms

By downloading, installing, accessing, or using Tempo, software available on desktop and mobile ("the App", "our Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App.

1.1 Who you're contracting with

These Terms of Use are between you and Tempo Software Pty Ltd (ABN 85 701 184 358, ACN 701 184 358), an Australian proprietary limited company ("Tempo," "we," "us," "our"). You are not contracting with any individual director, officer, or employee of Tempo Software Pty Ltd personally. References to "Tempo" throughout these Terms and our Privacy Policy mean Tempo Software Pty Ltd.

Your continued use of the App following any updates to these Terms constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.

2. Description of Service

Tempo helps you make plans with friends, family and partners. It coordinates availability, suggests times and books plans in Tempo and optional connected Google or Apple calendars. Calendar connections and AI consent are optional; fixed-time invitations and calendar functions remain available without AI consent.

3. Eligibility

To use the App, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the App under applicable law
  • Provide accurate and complete registration information

4. User Account

4.1 Account Creation

You must create an account to access the full features of the App.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at tempo.calendar.ai@gmail.com if you suspect unauthorised use. Our liability in connection with unauthorised use of your account is governed by section 10 (Limitation of liability) of these Terms and does not affect your rights under the Australian Consumer Law.

You must not share your account credentials with any third party.

5. Content and conduct

Use Tempo lawfully to plan with people you know. We have zero tolerance for objectionable content or abusive behaviour. Do not post or send harassment, threats, hate speech, sexually explicit content, content exploiting minors, violence, scams, spam or someone else’s private information without permission. These rules apply to profiles, invitations, plan messages, shared notes and photos.

You can report users and content in the app and block people. Blocking prevents new contact and friend-only access; previously shared information and events on other people’s calendars may remain.

We review reports within 24 hours and prioritise urgent safety concerns. Depending on our findings, we may remove content, restrict or suspend accounts, or dismiss the report. Some investigations may take longer to resolve. Contact tempo.calendar.ai@gmail.com for safety concerns.

Do not impersonate others, infringe their rights, access systems without authorisation, bypass security or usage limits, scrape or overload the service, or use it for unlawful activity. Our filters do not replace human review; report content that gets through.

6. AI features and your authorisation

AI planning and chat use Google Gemini and TypeSafe with your consent. You may decline or withdraw this choice in Settings. The Privacy Policy explains what each service receives.

Depending on your planning settings, Tempo can accept invitations and book events on your behalf without a separate confirmation for every event. Review your settings and booked plans; you can decline or cancel. Calendar connections authorise the reads and writes described in the connection flow.

AI can misunderstand requests or suggest unsuitable times. Check important details, and do not rely on Tempo for medical, legal, financial or safety-critical decisions. We do not guarantee that AI output is accurate or suitable in every case.

7. Intellectual Property

7.1 Our Intellectual Property

All intellectual property rights in the App, including software, algorithms, designs, trademarks, and content created by Tempo, are owned by or licensed to us. Nothing in these Terms transfers any ownership rights to you.

7.2 Your Content

You retain ownership of your calendar data and any content you input into the App. By using the App, you grant us a limited, non-exclusive, royalty-free licence to process your data solely to provide the Service as described in our Privacy Policy.

8. Price

Tempo is currently free. If paid features are introduced, their price, billing terms and cancellation information will be shown before any purchase. You will not be charged merely for having an account. Applicable purchases and refunds remain subject to Australian Consumer Law and, where relevant, Apple’s terms.

9. No warranty / service provided as is

Tempo is an evolving service. To the maximum extent permitted by law, Tempo is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, secure, or error-free.

AI planning can act according to the authorisation and settings described in section 6. Review important plans and calendar details. Tempo does not guarantee that AI output is accurate or suitable.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures, you are entitled to a refund or replacement, and for other failures, to compensation for any reasonably foreseeable loss. You are also entitled to have the service supplied with due care and skill. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted, or modified.

10. Limitation of liability

To the maximum extent permitted by law, and subject to the Australian Consumer Law guarantees referred to above:

(a) Tempo Software Pty Ltd's total aggregate liability to you arising out of or in connection with these Terms or your use of the app, whether in contract, tort (including negligence), statute, or otherwise, is limited to the greater of (i) the total amount you paid us in the 12 months before the event giving rise to the claim, or (ii) AUD $100.

(b) Tempo Software Pty Ltd is not liable for any indirect, special, incidental, or consequential loss or damage, or for loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such loss.

(c) Nothing in this clause limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

11. Indemnity

You agree to indemnify and hold Tempo Software Pty Ltd, its directors, officers, and employees harmless from any claim, loss, or damage (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the app; or (c) your violation of any law or the rights of a third party. This indemnity does not apply to the extent a claim arises from Tempo Software Pty Ltd's own negligence, wilful misconduct, or breach of these Terms.

12. Termination and account deletion

We may restrict, suspend or terminate accounts for breaches of these Terms or conduct harmful to users or the service. Serious safety concerns may require immediate action.

You can permanently delete your account through Settings → Advanced → Delete account. Apple sign-in may require reauthentication before revocation. The app confirms success only after the required deletion steps succeed; contact support if an error persists. Retained copies and exceptions are explained in the Privacy Policy.

13. Governing law

These Terms are governed by the laws of Queensland, Australia. You and Tempo Software Pty Ltd submit to the exclusive jurisdiction of the courts of Queensland.

14. Privacy

Your privacy is important to us. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, as described in our Privacy Policy. If you have a privacy concern that we are unable to resolve, you may contact the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au, by phone on 1300 363 992, or by post at GPO Box 5288, Sydney NSW 2001.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Your continued use after that date constitutes acceptance.

16. General

If any provision of these Terms is found unenforceable, the rest continues to apply. These Terms, together with our Privacy Policy, are the entire agreement between you and Tempo Software Pty Ltd regarding the app.
